Buying and selling with escrow

Every sale on AppAcquire is an asset purchase paid through Escrow.com. The buyer's money is held by Escrow.com and released to the seller only after the buyer accepts the app.

The steps

  1. Offer

The buyer makes an offer from the listing. The seller accepts, declines or counters. The offer also opens a message conversation.

  2. Optional NDA and letter of intent

Both sides can sign a mutual NDA. The letter of intent records the price and main terms and gives a short exclusivity period.

  3. Asset purchase agreement

The binding contract. List every asset (apps, code, domains, accounts) and the figures the seller confirms are accurate. Both sign electronically by typing their full legal name. Changing a document after anyone has signed clears the signatures so both sign the final text.

  4. Escrow.com

Each side confirms the email they use on Escrow.com. AppAcquire then creates the transaction. Escrow.com emails both of you to agree to it and verify your identity, and the buyer pays into escrow. Sellers also choose how they want to be paid (for example a bank account); Escrow.com cannot approve the buyer's payment until they do, so do it straight away.

  5. Transfer

Once Escrow.com confirms the money is secured, the seller transfers the apps through App Store Connect and Google Play, plus the code, domains and accounts, then tells Escrow.com delivery is complete.

  6. Inspection and release

The buyer has the inspection period from the agreement to check everything. Accepting, or letting the period end, releases the money to the seller.

Fees

Both fees are collected by Escrow.com at closing. There is no listing fee and nothing to pay if the sale does not complete.

FeeWho pays
AppAcquire fee, 1.5% of the priceThe buyer pays 1.5% on top; the seller pays 1.5% out of the proceeds. Escrow.com shows it as "Broker Fee".
Escrow.com fee, 2.6% down to 0.7% by price (minimums apply)Split 50/50 between buyer and seller. Escrow.com shows the exact amount. See the fees page for the full table.

What to know

  • Payment is a single lump sum in US dollars. Instalments, earn-outs and seller financing are not supported.
  • Never pay or accept payment outside Escrow.com.
  • The buyer needs developer accounts that can receive the apps (Apple Developer Program and Google Play).
  • AppAcquire provides the templates and tools but is not a party to the agreement and does not give legal advice. Consider having a lawyer review the documents.
  • If something goes wrong, our team sees every deal and can step in. Support is available 24/7 from the deal page conversation or at support@appacquire.com, and our brokerage help is free.

Troubleshooting

I confirmed the wrong Escrow.com email

Email support@appacquire.com before the transaction is created and we can correct it.

The buyer has paid but the money is not secured yet

Escrow.com holds the payment until the seller has agreed to the transaction and chosen how to be paid. Sellers: open the transaction on Escrow.com and add a payout method.

The transaction has not appeared

It is created automatically when both sides have signed the purchase agreement and confirmed an Escrow.com email. If it takes more than a day, contact support.
